There are a number of rules and obligations of different cases within the Corporate Law. In this context, three questions will be answered in the paper. All directors have to make attempts for avoiding events or situation that have the potential of presenting actual conflicts amongst their personal interest and interest of the organization. “Conflict of interest” takes place what there is an interference of personal interest of an individual in any manner, or even seems like interfering, with the interest of an organization (Gower 2009). Along with organization, this also includes affiliations and subsidiaries. Conflict of interest can take place when a particular director or family member of the director approaches an action or shows interest (Gower 2009). This action or interest has to make it difficult for the director at times for performing his or her task, objectively and effectively. Hence, there will be a rise of conflict. Also, conflicts of interest may take place when a particular director or family member of the director is receiving improper or inappropriate individual benefits due to the position of the director within the organization.
